1. I was a television anchor for Fox Five News in New York for 35 years. I submit this Declaration in support of plaintiff Jennifer Klein, and that she remain as Managing Member of Wine and Roses.

2. I have known Jennifer and Todd Klein for many years and have frequented Wine and Roses regularly since the day it opened.

It was and is their hard work and dedication that has made it so successful.    And it was and is their honesty that enabled them to return a substantial return to their investors. 

Quite honestly, if it wasn't for the Kleins, especiallyJennifer, there would be no Wine and Roses.  She is the soul of the place and is at the  core of its success.   

I was shocked and appalled at the way she has been treated and portrayed by the investors who were lucky enough to be involved with her and the wine bar.

Their unfounded accusations could not be further from the truth.  

It is my hope and belief that justice will prevail, and that Jennifer will remain in the position she has more than earned in the establishment, the Queen Bee of Wine and Roses.

To Whom It May Concern:

What makes a watering hole great?    What makes the difference between a merely good establishment and a truly wonderful one? Well, in the case of Wine and Roses, the answer is simple: Jen and Todd.

I have lived and worked in New York for more than 30 years, and I admit, I have frequented my share of restaurants and bars in this great city.    I can say with complete confidence that if it were not for Jen and Todd, Wine and Roses would not be the unique and fabulous place that it is.

Without them, there would be no reason to visit Wine and Roses over and over again. And each visit is a unique experience.    It is like being with good, close friends.   It is Jen and Todd's incredible warmth and professionalism,    their unusually personal touch that makes Wine and Roses such a welcoming, congenial establishment.  

Just seeing the respect they show their employees is enough to convince me that this is a special operation.    As a veteran newscaster in this town, it takes a lot to impress me.    Jen and Todd, and the way they treat their guests and their workers impress me greatly.

It is has been my pleasure getting to know the management at Wine and Roses located on Columbus Ave between 74th and 75th street. I have lived on the Upper West Side for ten years. I attended college locally in the neighborhood at Fordham University and I have seen plenty of Restaurants come and go throughout the years.

When Wine & Roses opened, my husband and I were so delighted, finally a great wine bar had opened up with a friendly and well run staff. We started coming to Wine and Roses weekly. We soon met Todd and Jen and Wine & Roses became hands down our favorite local hangout.

Personally having been in the Bar and Restaurant business for well over 10 years, I was very impressed.  The Management was organized, efficient, always kind, friendly, personable, and always delivered a great product and environment each and every time without fail. This is nearly impossible to encounter in New York City. We would often use Wine and Roses as an example to our new staff to show what we needed more of in our own restaurants and how we could learn by example of what great management was like.

I just recently resigned as Managing Partner & Head of Global Marketing and Promotions for Three Company Stores from All American Taverns. I organized and executed all Quarterly Sales Plans, Marketing Strategies, Flyer Creation and headlined all weekly manager meetings at each restaurant. In addition I directed the corporations overall marketing and strategic planning programs, corporate contact communications, and network database. I was in charge of overseeing all recruitment, hiring and development of the bars staff and supervising all business development including intensive one–on-one work shops to teach and guide positions pertaining to: Event Planning, Electronic Marketing, Business Development Coordination, and handling both external and internal Communication Systems (websites, Advertising, Sales, Banners, Table Tents, flyers, etc). That being said, it speaks volumes that we often held lunch and early evening business meetings at your establishment. I, have personally sent countless friends, clients, and co-workers to Wine and Roses because I knew they would not be disappointed. and they never were. Jen and Todd always went above and beyond to accommodate our needs – on one occasion they went as far as to give us their home number once to make sure we could contact them directly if we needed to make a reservation or book a party. They made sure every time that our guests were treated right.

Every time I walk by Wine and Roses the restaurant is always packed. This is true sign that the management is doing an amazing job. As busy as it gets, you are never treated like a number and you are always welcomed and the staff works hard to make sure you are taken care of quickly. The management really does a nice job across the board.

In June of 2009, my husband and I got engaged in Central Park. After we had our whole family meet us at Wine and Roses to celebrate. Todd and Jen have made Wine a Roses a home to it’s neighborhood families and locals. They have managed to get to know almost all of their patrons by fist name. This is an amazing feat for any bar and restaurant owner. Their personal touches have made Wine and Roses - a place you want to come too. They have made Wine and Roses what it is today.

Lastly, I am on the board of a foundation called The Timothy C. McWilliams, Jr. Foundation: which raises money for victims suffering from Traumatic Brain Injury. Wine and Roses has been our home base for many group committee meetings. We often have board members from out of town attend as well and they are always delighted and impressed with Wine and Roses. Every year people search for A Wine and Roses - Wine Tasting Raffle Item to bid on at our annual fundraiser. It is one of favorite items, most sought after and asked about year after year. Each year over 700 New Yorkers attend our charity event - so this should help illustrate the influence Jen and Todd have had on us personally and on our organization.

I can't believe that your partners are doing this to you.    For the last 4 years and for months before you even opened I have seen all the hard work, energy and dedication that Todd and you have put into making    Wine & Roses such a success.    I believe that they are getting greedy and have no idea of all the expenses that are involved in running an established Wine Bar.

I know all the effort it takes to make a place successful as I have managed Peter's Bar for the last 22 years.  I have seen both you and Todd work day and night without ever taking a vacation since you opened up.

My friends and I go there and you have always made everyone feel so welcome and so special and that is the reason you have such great success with Wine & Roses.  The staff you have employed are always professional and courteous and have an extensive knowledge of Wine and food.

When you first took over that space it was a wreck, just a raw space and you worked very hard turning it into the beautiful place that it is today.    What a beautiful addition to Columbus avenue and I feel you even started a trend with wine bars.

If there is anything I can do to help please let me know.  I believe that you and Todd are two of the most honest people I have ever met and your employees are very lucky to have you, you all work together and make a wonderful team.

Todd,   your care and thought that goes into the operational process of running a bar is impressive. Aesthetically, you have created one of the most sociable and soothing atmospheres in the city. The small details are what matter in a highly competitive industry and your experience/talent and foresight are what put Wine and Roses on the Wine Lover's map of places one MUST visit in the city.

The bar you have both built from scratch has become a mecca for Manhattan socialites and Out-of-towners alike. We have a core group of locals who traditionally come in on a daily/weekly basis to catch up with Todd and Jenn and the staff, but there is all an   increasing population of   Downtowners, East siders, Brooklyners, etc   who are visiting Wine and Roses and this all stems from word of mouth and how fantastic the bar is, the owners (   YOU ) are and how knowledgeable the staff is about wine.

I couldn't imagine the Upper West Side without the Wine and Roses you both created.  I Love you both!  I can't thank you enough for inviting me into your Wine and Roese family over 1 1/2 years ago... The friendships I have made through working here will last a life time and we will all continue to carry this on from this day forward!

I've only been working at Wine and Roses for a couple months now, but in that time, I've grown close relationships with my co-workers and the owners, Todd and Jennifer Klein. It's a very family oriented environment, bonded together with team work and honesty.  

The bartenders was given 100% responsibility for the flow of service and the ringing of transactions. The bartenders, at the end of the night, would count out the drawer and after computing the days starting bank plus the cash tips and subtracting the days receipts, would arrive at the total of the bank we had just counted. After this number was reached, the bartenders place the bank in a sealed envelope and would place it in the safe with the other paperwork from the evening. Tory, our day time account manager, would then count out everything correctly again in the morning, as a precaution, and do the banking. Todd and Jennifer had no contact with the money at all.  

I've never worked for a place that was so inviting and welcoming. Todd and Jennifer were great managers, that were respectful and had great faith in their staff. The situation is heart breaking right now. I only hope the rightful owners and the most qualified management, Todd and Jennifer, are granted access to do what they've been doing wonderfully for the past 4 years, and that is flawlessly run their wine bar, a little diamond in the rough of the upper west side bar scene.

Although, I do not know everything that takes place at Wine and Roses I can honestly say that after working full time for a year I do not believe that Todd and Jennifer Klein have ever handled any cash at the bar, nor had any other interest then to run a successful neighborhood bar on the Upper West Side.   

I think it would be in the best interest of the business to continue running with the current management and staff.    At Wine and Roses we all operate as a team, and this seems to have been successful since it's opening four years ago.

I am writing this letter in support of Wine and Roses Bar and Cafes under the management of Jennifer and Todd Klein. I started my employment at the bar at the end if May 2010. For the past two months I could not have had a more pleasant, professional, and safe working environment. Mr. and Mrs. Klein show nothing but respect for their employees and business' well-being.

I have both opened and closed the bar as a bartender over the past two months. Every cent is meticulously counted, recorded, and sent to Mr. Klein on a nightly basis. I have no reason to believe that Mr. or Mrs. Klein have ever acted irresponsibly with the bar's revenue or the tips to the employees. At the end of the night, the two closing bartenders count the money in the register and make sure that the bank matches the total cash sales plus the starting bank of the day. The bank is then sealed in an envelope with the amount enclosed written and circled on the outside. The closing envelopes are then placed in the safe through the drop box in the top. The closing system is very effective and I feel safe doing it because we lock the outside door, take the money to the office to count it, and there are security cameras recording all of these actions 24/7.

I have worked in many establishments over the years, and honestly, this bar has been one of my favorite and most pleasant work experience thus far. If you have any questions about my statements, please let me know.

I really enjoyed my experience at Wine and Roses as a server and bartender.    When I first started, I was impressed by the prestigious, diversified wine list and I foresaw an opportunity to learn a lot about wine culture. The style of the program was different from what I had seen prior in New York City. To have single-vineyard wines as by-the-glass options gave the customers, especially wine-savvy people a real unique opportunity to explore the wine world without having to necessarily depend on others to share or commit to a bottle.  It therefore gave us employees the opportunity to be mini-ambassadors for each winery.  To really emphasis what they were drinking, and to express the meaning that stood behind each and every bottle.

As the face of Wine & Roses, you brought such a warmth to the atmosphere.    You treated each and every customer as you number one guest and you were always extremely accommodating.    Your generosity was clearly appreciated by all and your attention to detail really helped to create a romantic, attractive atmosphere for the go-to date spot that Wine & Roses is night after night.

Like a number of people we have seen the press about the conflict between the Wine & Rose investors and Jen and Todd. We think we have some special insight into the situation which we would like to share. We live in the neighborhood and were literally there at the launch of W&R. We first met Jennifer at a competitor wine bar when she was scouting locations and developing the concept. She quizzed    us for almost an hour about likes/dislikes etc in a wine bar. She was

a woman on a mission. She may not even remember the event because it was clear that she was doing considerable research and was interviewing a number of people.   

As a result though, we took particular interest in the growth, development and success of the bar. We became "regulars" and were able to see first hand that this was their baby - every aspect. Every detail was labored over. Even the wine racks on the wall.

I am a private investor myself and the main criteria for me in choosing investments is management. The integrity, passion, commitment, dedication and talent of management. Todd and Jen showed us to have all of those in abundance. Inspiration and perspiration, they were 110%. To the regulars, or the one time visitor, it is crystal clear that the success of the establishment is solely because of Jen and Todd.

Speaking as an investor, again, I can't imagine that the bar will remain successful without them being there. They are as much a part of the bar as the wine itself.

In short, we would like to step forward to endorse and support them and be a reference for them. Please feel free to contact us with any questions or further elaboration on this letter.

Ever since I walked in off the street almost 4 years ago, it has been my favorite spot in New York. You know full well that when I hit the city coming from out West, W&R is my first stop every time. This is no small deal. I was born and raised on the Upper West Side, and I've known every one of the great classic places over the years. Cafe Central, The World, Amsterdams, etc. Every one of those places was THE place to go in its time and for one reason only - the people who ran it. It's never about the food or the liquor or even the wine. It's never about the architecture. It is, always and forever, about what your experience is when you walk through the door. You and Todd are two great restauranteurs. You run a tight ship, you're sweeter than anyone has a right to be, you inspire loyalty from customers and employees, and you're a knockout. No wonder W&R is my home away from home.

My employment at Wine and Roses began towards the end of May 2010, under the management of Jennifer and Todd Klein. For the past two months, I could not have had a more pleasant, professional, and safe working environment. Mr. and Mrs. Klein show nothing but respect for their employees and the business’ well-being.

I have both opened and closed the bar as a bartender over the past two months. Every cent is meticulously counted, recorded, and sent to Mr. Klein on a nightly basis. I have no reason to believe that Mr. or Mrs. Klein have ever acted irresponsibly with the bar's revenue or the tips to the employees. At the end of the night, the two closing bartenders count the money in the register and make sure that the bank matches the total cash sales plus the starting bank of the day. The bank is then sealed in an envelope with the amount enclosed written and circled on the outside. The closing envelopes are then placed in the safe through the drop box in the top. The closing system is very effective and I feel safe doing it because we lock the outside door, take the money to the office to count it, and there are security cameras recording all of these actions twenty-four hours a day, seven days a week.

I have worked in many establishments over the years, and honestly, this bar has been one of my favorite and most pleasant work experiences thus far, thanks to the management of Jennifer Klein.

I have only been working at Wine and Roses for a couple months, but in this time, I have developed close relationships with my co-workers and with the owners, Jennifer and Todd Klein. Wine and Roses is a very family-oriented environment, bonded together with team work and honesty.  

The bartenders are given 100% responsibility for the flow of service and the ringing of transactions. The bartenders, at the end of the night, count out the drawer and after computing the days starting bank plus the cash tips and subtracting the day’s receipts, the bartenders would arrive at the total of the bank we had just counted.

After this number was reached, the bartenders would place the bank in a sealed envelope and then into the safe with the other paperwork from the evening. Tory, our day time account manager, would then count out everything correctly again in the morning, as a precaution, and do the banking. Jennifer Klein has no contact with the money at all.  

I have never worked for a place as inviting and welcoming as Wine and Roses, as made possible by Jennifer and Todd, who are great managers. They are respectful and have great faith in their staff.

I only hope the rightful owners and the most qualified management, Jennifer and Todd, are granted access to do what they have been doing wonderfully for the past 4 years, and that is flawlessly run their wine bar, a little diamond in the rough of the upper west side bar scene.

We are writing this letter in support of our friends, Jennifer and Todd Klein, in an

effort to attest to their unrivaled business aumen, their genuine caring for

their employees and their customers, their honesty, and especially in support of the wonderful wine bar that they built and have been operating.

As friends, we were there since the inception of "Wine and Roses". Jennifer and

Todd shared their idea of a wine bar with us one weekend, when we were out

to dinner together. They had researched the idea of it, the demographics, and

what they thought was a niche for a successful business venture on the Upper

West Side. Jennifer spent weeks paying careful attention to the wine menu,

researching different types of wines, and learning what was to become the

elements of her business. We were impressed, beyond belief, by her "thirst" for

knowledge, her willingness to explore beyond any boundaries, and the trust

that was evolving between Jennifer and Todd. It was easy to see that they were

apply the elements of their successful marriage to what they hoped would be

a successful business, and that their good communication and respect for one

another would contribute toward making this new venture a successful one.

My husband and I never doubted the success of this venture...not even for a

minute. ANyone who knows Jennifer and Todd knows that they are straight-

forward and honest people, and that their magnetic personalities draw anyone

around them to them. We have witnessed this on every occasion that we were

at the wine bar...which has been on the average of every 3 weeks.

But first things first: Exactly what does Wine and Roses represent?

Wine and Roses has become "the living room" of the Upper

West Side, where people go to have fine wine, to socialize, and to see Jenn and

Todd. Jenn and Todd created this "living room"! Jenn and Todd know the first

names of all of their customers! That's because they really care about them,

and who they are! I see Jen and Todd, regularly, socializing with their customers,

asking them how they like their wine selections, learning about their customers'

background and families; they can also be seen, regularly, standing outside on

the sidewalk, chatting with passersby, who stop to say "hello", even if they are

going to a different destination. Jen and Todd have become an important part of

the neighborhood! They are as "hands on" as two owners can get! Inside the wine bar,

they have fostered a wonderful sense of "belonging", a sense of "family",as people

introduce themselves to one another, share in conversation, enjoy the low-key

background music, and engage in sipping good wine and nibbling on the wonderful

hors D'oevres offerings from the kitchen. NOT ONCE have we EVER witnessed or

heard about an unruly customer who might have had too much to drink! There is

no doubt in our minds that that's because Jennifer and Todd are "hands-on" owners,

who are there every night, and oversee what is going on. They truly love what

they have built and take care of it, as though it was a living thing. And it's no wonder

to us, as we have witnessed how they opened Wine and Roses, received awards for

their wine selections and its atmosphere, shared each anniversary of the wine

bar with customers who are REPEAT customers, who want to be there to celebrate

momentous occasions, like the First, Second, Third, and Fourth Anniversaries of

Wine and Roses! All of us have watched it grow from an idea into a successful

business. And each and every one of us know, beyond any doubt, that the success

story would not have been possible without Jennifer and Todd at the helm! Proof of

that is approximately two blocks away, where another wine bar exists! It was there

before WIne and Roses, yet Jennifer and Todd created a successful wine bar of

their own!

There is another additional element which we have noticed, which must be mentioned.

The employees of Wine and Roses are truly part of the success story, because

Jennifer and Todd treat them "like family". They are always introduced to the

customers, they are permitted to chat with the customers and get to know them, and

each one of them is treated with utmost respect and caring by Jenn and Todd. They,

in return, are happy and patient, as customers try different wine selections. Jennifer

taught each one, initially, that her expectation is to treat a customer with a friendly

greeting; but the rest comes entirely from them, as they have become familiar

with the "regulars" at the wine bar. That would also explain why celebrities go to

Wine and Roses; there is undeniable decorum at Wine and Roses! Celebrities can

maintain their privacy; Jenn's customers know when to keep their distance,

yet the celebrities who go to Wine and Roses are "part of the

family". My husband is a celebrity; and he feels very comfortable with every

customer who is in the wine bar. I feel as comfortable being there alone, as I do with

my husband. THe atmosphere which Jenn and Todd foster there is a safe

environment, as well as a friendly one. Wine and Roses is immaculate and

beautiful! There are always fresh roses in various locations; the rest room is

impeccable. Again, we attribute this to the fine management by Jenn and Todd, who

are there every day to oversee what is going on.

We are so proud of Jenn and Todd! There are too few people like them. They are

rare gems...both of them! And we are proud to call them our friends.
